NO PURCHASE REQUIRED TO ENTER OR WIN
1. ELIGIBILITY: The Danger Radio Sweepstakes (the “Sweepstakes”) is open only to legal residents of fifty (50) United States or the District of Columbia who are eighteen (18) years of age or older. Employees of imeem, Inc. or other companies associated with the promotion of the Sweepstakes, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Sweepstakes is subject to federal, state, and local laws and regulations and is void where prohibited.
2. SPONSOR: The Sweepstakes is sponsored by imeem, Inc., 650 4th Street, Box 155, San Francisco, CA 94107 (the “Sponsor”).
3. AGREEMENT TO OFFICIAL RULES: Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. ENTRY PERIOD: The Sweepstakes begins on August 25, 2008 at 12:00am PT and ends on October 6, 2008 at 11:59pm PT (the “Entry Period”). Entries that are submitted before or after the Entry Period will be disqualified.
5. HOW TO ENTER: You must be registered with imeem.com. If you are not already registered visit imeem.com to register for free. To enter:

• add Danger Radio as a “Friend”
• Sign up for the Danger Radio mailing list.
By signing up for the mailing list you will receive one (1) entry into the Sweepstakes. Any entries attempted through the use of agencies or robotic, repetitive, automatic, programmed, or similar methods will be void. There is a limit of one (1) entry per person and e-mail address. Any additional entries will be void.
6. DRAWING: On or about October 7, 2008 the Sponsor will select the potential winners in a random drawing of all entries received. The odds of being selected depend on the number of entries received. The Sponsor will attempt to notify a potential winner within 10 days of the drawing. If a potential winner cannot be contacted within 10 days after the first attempt to contact him/her, the Sponsor may select an alternate potential winner in his/her place at random from the remaining entries.
7. REQUIREMENTS OF A POTENTIAL WINNER: A potential winner may be required to complete and return an affidavit of eligibility and liability/publicity release (the “Affidavit/Release”) within five (5) days of being notified. If a potential winner fails to sign and return the Affidavit/Release within the required time period, he/she will be disqualified and an alternate entrant may be selected in his/her place in a random drawing of all entries received. If a potential winner is a minor, his/her parent or legal guardian must sign the Affidavit/Release on the potential winner’s behalf.
8. PRIZES: One (1) grand prize winner will receive Line 6 Variax Acoustic 700
(ARV $1,199), a West Aspen Gift Certificate (ARV $50), 2 Danger Radio T-Shirts (ARV $30),an autographed CD - "Used and Abused" (ARV $10), and a Danger Radio Tote Bag (ARV $25). Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The winner is responsible for any and all other costs and expenses not listed above. Prizes may be reported as income to a winner and the winner will be responsible for all taxes associated with the receipt of a prize.
9. PRIVACY AND PUBLICITY: All information submitted by entrants in the Sweepstakes will be treated according to the imeem Privacy Policy. Except where prohibited, participation in the Sweepstakes constitutes an entrant’s consent to the Sponsor’s use of his/her name, likeness, voice, opinions, biographical information, and state of residence for promotional purposes in any media without further payment or consideration.
10. GENERAL CONDITIONS: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules or (b) award the prizes at random from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
11. RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Sweepstakes, entrants agree to release and hold harmless the Sponsor, its officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) any technical errors that may prevent an entrant from submitting an entry; (b) unauthorized human intervention in the Sweepstakes; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Sweepstakes or the processing of entries; or (f) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
12. DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

1. ELIGIBILITY: The truth® Contest (the “Contest”) is open only to legal residents of fifty (50) United States or the District of Columbia who are thirteen (13) years of age or older. Entrants who have not yet reached the age of majority in the jurisdiction in which they reside will need to obtain permission from their parent/legal guardian in order to enter the contest. Employees of imeem, Inc. or Rock River Records and American Legacy Foundation Inc., and their respective parent companies, affiliated companies, subsidiaries, sponsors, advertising agencies and third party fulfillment agencies and their respective agents, employees, officers, directors, successors and assigns as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible to enter. By participating in this Contest, entrants: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules by Imeem Inc, which are final in all matters relating to the Contest; (b) to release and hold harmless Contest Entities against any and all claims, injury or damage arising out of or relating to participation in the Contest and/or use or misuse or redemption of a Grand Prize (as hereinafter defined); and (c) acknowledge compliance with these Official Rules. The Contest is subject to federal, state, and local laws and regulations and is void where prohibited.

AGREEMENT TO OFFICIAL RULES: Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. 5. CREATE AN ENTRY: You must be registered with imeem.com. If you are not already registered, visit imeem.com to register for free. To enter, you must become a member of the Truth Profile Page located at http://www.imeem.com/thetruth (website) create an original remix song using your original content and content available at http://www.imeem.com/thetruth ("Web Site") and submitting the remix according to the instructions in Section 6 below (“Entry”). Eligible Entries will be voted on online and judged to determine the prize winner. The Entry must meet each of the following requirements:

a. The Entry may not contain any trademarks, logos, or copyrighted elements other than elements owned by the entrant or made available on the Web Site. Any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed by the entrant, or be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of the Entry, in the Sponsor’s sole discretion. The Entry may not break up the following lyrics “Cigarette smoke contains benzene?” (i.e. must say Cigarette smoke).

b. The Entry may not be obscene or indecent, it must not contain defamatory statements, it must not include threats to any person, place, business, or group, and it must not invade privacy rights or any other rights of any person, business, or group. The Entry cannot negatively depict tobacco growers or distributors, individually or collectively.

6. SUBMIT YOUR ENTRY: Once you have created an Entry that meets each of the requirements set forth above, submit your Entry to http://www.imeem.com/thetruth by As posted, go to http://dropbox.yousendit.com/imeem-truth-remix-contest and fill out the required form fields including your name, imeem profile URL, remix track name, and upload your entry in the field provided. Entries may not be submitted by more than one (1) person and all Entries must be submitted online no later than September 12, 2008 at 12:00 pm PT. Once a User Name has been registered by an entrant, that User Name cannot be used by any other person for this Contest (or to register with the Web Site). Only the entrant registered under a particular email address may participate in this Contest. Once registered, participant can enter this Contest by following the online instructions to submit his/her Submission.
Each Submission shall constitute an “Entry” into this Contest. Once submitted, you cannot change your Submission. It is the responsibility of the entrant to check if his/her her Submission conforms with all the guidelines stated in these Official Rules. By entering, entrant (or, his/her parent or legal guardian if entrant resides in a jurisdiction that deems him/her to be a minor) agrees to have read and accepted the provisions of these Official Rules, and that he/she grants to Sponsor the right to use his/her Submission throughout the universe, in whole or in part, in edited, unedited or distorted form, on and in connection with the Contest, for any trade advertising or promotional purposes whatsoever, without review, approval, notification or payment from or to any person or entity, in all media (including on the Web Site) now known or hereafter discovered throughout the universe. 7. ENTRANT’S WARRANTIES AND REPRESENTATIONS: By submitting an Entry, each entrant warrants and represents that the Entry (a) is original to the entrant, (b) does not infringe the intellectual property, privacy, publicity, or any other rights of any third party, (c) does not violate any law or regulation, (d) has not previously been entered in any other contest, and (e) has not been previously published in any medium. Moreover, the Entrant warrants and represents that he/she owns all rights to his/her Entry and is able to grant the rights to the Sponsor described in the “Sponsor’s Rights to Entries” section below.

8. SPONSOR’S RIGHTS TO ENTRIES: By submitting an Entry, each entrant:

a. Irrevocably grants to the Sponsor, its agents, licensees, and assigns the unconditional and perpetual right and permission to copyright, reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use the Entry (with or without using the entrant’s name) in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from the entrant or any other party.

b. Forever waives any rights of copyrights, trademark rights, privacy rights, and any other legal or moral rights that may preclude the Sponsor’s use of the entrant’s Entry, or require the entrant’s permission for the Sponsor to use the Entry.

9. SELECTION OF WINNER: On or about September 12, 2008, all Entries will be reviewed by a panel of judges including Rock River Records and imeem representatives (the “Judges”) and the top five (5) finalists will be determined according to the following judging criteria: 40% Compatibility with truth®, 30% talent, 20% originality, 10% creativity. The decisions of the Judges are final. imeem users will then vote for a period of three (3) weeks to choose a potential winner based upon the highest number of stars received. The odds of winning depend on the relative performance of all entrants and the number of eligible entries received. The Sponsor will attempt to notify the potential winner within ten (10) days of selection.

10. REQUIREMENTS OF A POTENTIAL WINNER: Except where prohibited, a potential winner will be required to sign and return an affidavit of eligibility, a liability/publicity release. In addition, a potential winner may be required to sign a release in which he/she irrevocably assigns and transfers to the Sponsor any and all rights, title and interest in Entry, including, without limitation, all copyrights and trademark rights, and waives all moral rights in the Entry. Documents must be signed, notarized, and returned to the Sponsor within 5 days of being notified. If a potential winner is a minor, his/her parent or legal guardian must sign the required documents on the entrant’s behalf. Welcome to The CW 90210 Main Title Re-Record Contest (the “Contest”). The Contest is a music performance-based contest that is associated with The CW’s new television series 90210, which premieres Tuesday, September 2, 2008 at 8/7c on The CW Network (the “Network”). The Contest begins on August 13, 2008 at 12pm PT and ends on September 16, 2008 at 12pm PT (the “Entry Period”), and is sponsored by imeem, Inc., 660 4th Street, Box 155, San Francisco, CA 94107 (the “Sponsor”). The Official Contest Rules (the “Rules”) and Participant Agreement (the “Agreement”) is set forth and presented by the Sponsor and the Network. Entry or false or misleading information by any Participant may be grounds for disqualification of Participant at the sole discretion of the Sponsor. Any Entries received that do not comply with these Rules may be disqualified. Mailing of an Entry will not be deemed receipt or delivery of the Entry. THE ENTRY REOUIREMENTS:
Entry must:
1) be no longer than two (2) minutes and no shorter than thirty seconds in duration including any audio introduction;
2) be recorded on mp3, .aac, .aif, or .wav audio file only;
3) not infringe on any third party's rights, including, without limitation, copyright, trademark, right of publicity, right of privacy or trade secret;
4) not contain any content or performance that is patently offensive, illegal, pornographic or obscene or that is otherwise objectionable to Sponsor, in its sole discretion;
5) not include any third parties that are not Participants;
6) not include a musical composition that contains any third-party content, sampled elements or third-party musical works.
Sponsor may require a Participant to resubmit their Entry for broadcast standard purposes or other reasons, or require a Participant to provide a better broadcast quality Entry.

SELECTION OF FINALISTS:
From approximately September 16, 2008 to September 22, 2008, the finalists will be selected by a panel of judges selected by the Sponsors (“Judging Panel”) on the basis of the following criteria (“Judging Criteria”): Apparent Talent 40%; Compatibility with 90210 30%; Originality 20%; Creativity 10%. The odds of becoming a finalist depend on the relative performance of all Participants and the number of eligible Entries received. Finalists will be required to provide the following in order to be eligible to participate in the finals:

1) the completed and signed Participant Agreement; and
2) a scanned electronic version of the participant’s valid identification ( e.g. a State-issued driver's license or passport, etc.)

SELECTION OF WINNER:
From approximately September 22, 2008 to September 30, 2008 (the “Voting Period”) website visitors will have the opportunity to vote online for his/her favorite Entry (no particular criteria) at www.imeem.com. Once the Voting Period has closed, the Sponsor will tally up the final number of votes and the three participants with the highest number of votes will be referred to the Judging Panel for final determination of the winner based on the Judging Criteria. The odds of winning depend on the relative performance of all Participants and the number of eligible entries received. Once the final determination of the Judging Panel has been reached, the Sponsor will attempt to notify the potential winner.
Decisions of Sponsor are final and binding in all respects and are non-appealable. If a tentative finalist is found ineligible or fails to comply with these Rules, that finalist will be disqualified and an alternate finalist may be selected based on the following procedure set forth under this section.

PRIZE:
One (1) finalist (the “Winner”) will be selected to have the opportunity to have his/her Entry utilized by the Network and/or CBS in an episode of or in a promotion for the television series 90210 at a date, time, and context to be later determined by the Network and CBS. Sponsor makes no guarantee of the manner in which, or if, Entry will be used, and declares that Entry will be aired only providing Winner agrees to execute any and all required documents, agreements and/or contractual releases deemed legally necessary by Contest Entities for fulfillment of prize. Sponsor, the Network and CBS disclaim any responsibility for any occurrence resulting in inability to fulfill prize, including but not limited to final editing revisions excluding winning Entry submission from broadcast and/or cancellation of series. ELIGIBILITY: The Slightly Stoopid and Pepper’s Tailgate 08 Contest (the “Contest”) is open only to legal residents of fifty (50) United States or the District of Columbia who are eighteen (18) years of age or older. Employees of imeem, Inc. or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Contest is subject to federal, state, and local laws and regulations and is void where prohibited.
2. SPONSOR: The Contest is sponsored by imeem, Inc., 660 4th Street, Box 155, San Francisco, CA 94107 (the “Sponsor”).
3. 6. The Entry must meet each of the following requirements:
a. The Entry may not depict actual or simulated drug or alcohol use.
b. The Entry may not contain any trademarks, logos, or copyrighted elements other than elements owned by the entrant. Any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed by the entrant, or be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of the Entry, in the Sponsor’s sole discretion.

The decisions of the Judges are final. The odds of winning depend on the relative performance of all entrants and the number of eligible entries received. NO PURCHASE REQUIRED TO ENTER OR WIN
1. ELIGIBILITY: The O.A.R Playlist Contest (the “Contest”) is open only to legal residents of fifty (50) United States or the District of Columbia who are eighteen (18) years of age or older. Employees of imeem, Inc. or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Contest is subject to federal, state, and local laws and regulations and is void where prohibited.
2. SPONSOR: The Contest is sponsored by imeem, Inc., 660 4th Street, Box 155, San Francisco, CA 94107 (the “Sponsor”).
3. AGREEMENT TO OFFICIAL RULES: Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. ENTRY PERIOD: The Contest begins on July 11, 2008 at 12:00 PM PT and ends on August 11, 2008 at 12:00 PM PT (the “Entry Period”). Entries that are submitted before or after the Entry Period will be disqualified.
5. HOW TO ENTER: You must be registered with imeem.com. If you are not already registered, visit imeem.com to register for free. To enter, you must join the “O.A.R Fans” group at http://www.imeem.com/oarfans (the “Website”) and follow the instructions to create and post your O.A.R Playlist (an “Entry”). The Entry must meet each of the following requirements:
a. The Entry must contain a playlist featuring at least 12 of the songs listed at the Website. The Entry must contain only those songs listed at the Website.
b. The Entry must be posted in the O.A.R Fans Group.
There is no limit of how many times a person may enter.
6. JUDGING: On or about August 11, 2008, the Sponsor will evaluate the Entries according to the total number of “plays” of the entire playlist or a portion thereof. The decisions of the Judges are final. The odds of winning depend on the relative performance of all entrants and the number of eligible entries received. The Sponsor will attempt to notify a potential winner within two (2) days of the drawing. If a potential winner cannot be contacted within two (2) days after the first attempt to contact him/her, the Sponsor may select an alternate potential winner in his/her place at random from the remaining entries.
7. REQUIREMENTS OF A POTENTIAL WINNER: A potential winner may be required to complete and return an affidavit of eligibility and liability/publicity release (the “Affidavit/Release”) within three (3) days of being notified. If a potential winner fails to sign and return the Affidavit/Release within the required time period, he/she will be disqualified and an alternate entrant may be selected in his/her place in a random drawing of all entries received. If a potential winner is a minor, his/her parent or legal guardian must sign the Affidavit/Release on the potential winner’s behalf.
8. PRIZE: One (1) Grand Prize winner will receive one (1) autographed copy of every O.A.R album that has been released (ARV $150).
Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The winner is responsible for any and all other costs and expenses not listed above. Prizes may be reported as income to a winner and the winner will be responsible for all taxes associated with the receipt of a prize.
9. PRIVACY AND PUBLICITY: All information submitted by entrants in the Contest will be treated according to the imeem Privacy Policy. Except where prohibited, participation in the Contest constitutes an entrant’s consent to the Sponsor’s use of his/her name, likeness, voice, opinions, biographical information, and state of residence for promotional purposes in any media without further payment or consideration.
10. GENERAL CONDITIONS: In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules or (b) award the prizes at random from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the participant. The Entry must meet each of the following requirements:
a. The Entry may not contain any trademarks, logos, or copyrighted elements other than elements owned by the entrant. Any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed by the entrant or be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of the Entry, in the Sponsor’s sole discretion.
b. The Entry may not be obscene or indecent, it must not contain nudity or depict violence, it must not contain defamatory statements, it must not include threats to any person, place, business, or group, and it must not invade privacy rights or any other rights of any person, business, or group.
• SUBMIT YOUR ENTRY: Once you have created an Entry that meets each of the requirements set forth above, visit the Website, and follow the instructions to submit your Entry. There is a limit of one (1) submission per person. Entries may not be submitted by a group of more than one (1) person.
• ENTRANTS WARRANTIES AND REPRESENTATIONS: By submitting an Entry, each entrant warrants and represents that the Entry (a) is original to the entrant, (b) does not infringe the intellectual property, privacy, publicity, or any other rights of any third party, (c) does not violate any law or regulation, (d) has not previously been entered in any other contest, and (e) has not been previously published in any medium. c. • JUDGING: On or about August 8, 2008, a judge or judges selected by the Sponsor (each, a “Judge”) will evaluate the Entries according to the Judging Criteria in order to select the winner. The Judging Criteria will consist of: end user feedback (number of comments, play counts, ratings) – 3 points and consistency with the spirit of Lloyd’s music videos – 5 points. The decisions of the Judges are final. The odds of winning depend on the relative performance of all entrants and the number of eligible entries received. The Sponsor will attempt to notify a potential winner within two (2) days of the drawing. If a potential winner cannot be contacted within two (2) days after the first attempt to contact him/her, the Sponsor may select an alternate potential winner in his/her place at random from the remaining entries.
